Job Details

Responsibilities

• Represent buyers, sellers, sponsors, and strategic investors in a broad range of transactions.
• Draft, negotiate, and manage transaction documents for mergers, acquisitions, divestitures, joint ventures, and other strategic transactions.
• Conduct legal due diligence and assist clients through all phases of the deal lifecycle.
• Advise clients on complex corporate and transactional matters, including:
  • Acquisitions and dispositions
  • Strategic alliances and joint ventures
  • Spin-offs and carve-outs
  • Leveraged buyouts
  • Recapitalizations
  • Tender offers
• Collaborate with attorneys across multiple practice areas to provide comprehensive business solutions.
• Manage multiple matters simultaneously while maintaining exceptional client service and attention to detail.

Qualifications

• J.D. from an accredited law school with strong academic credentials.
• 2-6 years of meaningful M&A and corporate transactions experience at a law firm.
• Experience handling both domestic and cross-border transactions.
• Familiarity with buy-side and sell-side transaction work.
• Strong understanding of corporate structures and complex transactional issues.
• Exceptional drafting, negotiation, analytical, and research skills.
• Excellent written and verbal communication abilities.
• Demonstrated ability to work effectively in a fast-paced, team-oriented environment.
• Strong business judgment and client-service mindset.
• Admission to the state bar where practicing, or eligibility for admissio
