Corporate Paralegal OpportunityTrueline's client, a top-tier national law firm with a strong corporate practice, is seeking a Corporate Paralegal to join their team in Atlanta, GA. This role supports a fast-paced M&A group and offers the opportunity to work on complex corporate transactions while building deep expertise in corporate governance and filings.What You'll Do as the Corporate Paralegal:Prepare and file a range of corporate documents, including entity formations, amendments, mergers, conversions, and dissolutionsManage corporate governance records, including minute books, stock ledgers, and ownership documentationHandle state and federal filings such as annual reports, fictitious name registrations, and IRS forms (EINs, S-elections)Support M&A transactions by organizing due diligence materials, maintaining data rooms, and tracking closing deliverablesConduct UCC, lien, litigation, and bankruptcy searches and assist with related filingsCoordinate disclosure schedules, closing checklists, and transaction documentationCollaborate with attorneys and internal teams to ensure timely and accurate execution of corporate mattersMust-Haves as the Corporate Paralegal:3+ years of corporate paralegal experience in a law firm environmentStrong knowledge of corporate governance, filings, and transactional supportHigh attention to detail with the ability to manage multiple priorities and deadlinesSolid technical skills with experience reviewing and analyzing legal and transactional documentsClear and professional written and verbal communication skillsNice-to-Haves as the Corporate Paralegal:Experience supporting M&A transactions in a mid-to-large law firm settingFamiliarity with data room platforms and due diligence processesProactive mindset with the ability to anticipate issues and problem-solve independentlyThis Role Offers:Competitive compensation and comprehensive benefits packageExposure to sophisticated corporate and M&A workCollaborative team environment with strong mentorshipOpportunities for long-term growth and skill developmentHybrid work flexibility
