Work Location: New York, New York, United States of America Hours: 40 hours per week Line Of Business: TD Securities Pay Detail: $175,000 - $175,000 USD The Advisory Contract and Execution (ACE) Team, also known as Global Markets Documentation, is a client‑facing team that supports capital markets deal origination, execution, and regulatory compliance for trading agreements worldwide. The Associate – Global Markets Documentation delivers best‑of‑class service to clients and internal partners, preparing and negotiating legal documentation for a range of trading products, including derivatives, foreign exchange, and commodity products. The role protects TD from legal, credit, business, and compliance risks across all trading documentation while building strong relationships across the bank and supporting global deal flow under tight deadlines. Key Responsibilities Manage a diverse portfolio of capital markets clients globally across specific trading products. Review, draft, negotiate, and finalize capital markets legal agreements in alignment with risk, legal, regulatory, and governance frameworks, ensuring accelerated time‑to‑market. Communicate trade agreement terms to business lines, clients, and their legal counsel in a clear, business‑friendly manner. Prepare and negotiate capital markets agreements—including ISDA Master Agreements, credit support documentation, prime brokerage agreements, master confirmation agreements, energy and metals agreements, and repo and securities lending agreements—to adequately protect the Bank. Collaborate and coordinate with internal stakeholders such as Front Office, Legal, Credit, Operations, Funding, Valuations, and Collateral Management during the origination and negotiation process. Develop a strong understanding of the Bank’s global regulatory framework, credit, and documentation requirements. Depth & Scope Negotiate a robust portfolio of capital markets regulatory agreements globally, ensuring compliance across jurisdictions. Draft and finalize agreements, aligning with internal standards and regulatory requirements. Communicate regulatory requirements to business lines, clients, and legal counsel efficiently. Participate in client meetings, providing regulatory advisory and rule interpretation for frameworks such as US Dodd‑Frank, EMIR, UK, Canadian, and Singapore. Work with trading desks to understand client needs and prioritize high‑value relationships. Track and monitor legislation, regulation, and guidance related to OTC derivative transactions across key jurisdictions. Prepare and review necessary agreement requirements and disclosures to meet TD Securities’ regulatory obligations. Participate in regulatory implementation efforts for new rules and initiatives, ensuring timely and accurate execution. Act as a key point of contact for trade desk, Legal, Compliance, and Credit teams on regulatory documentation matters. Analyze new and existing client base to ensure ongoing regulatory compliance. Use technology to track workflow, maintain databases, and produce status reports. Escalate issues proactively and provide timely support across multiple time zones, including North America, Europe, and Asia. Education & Experience Law degree required. 1+ years of solid legal, trading documentation, capital markets, origination, or related experience. Preferred Qualifications Excellent written, verbal communication skills and drafting ability. Self‑motivated with the ability to multitask, work independently, and collaborate effectively. High degree of integrity and strong work ethic. Consistent follow‑through on commitments and proactive issue escalation. Promotion of best practices and enhancement of procedural controls. Ability to work under tight deadlines and support global time zones. Demonstrated management skills and commitment to delivering results within aggressive timelines. Physical Requirements Daily sedentary workload; occasional domestic travel. Occasional lifting/carrying under 25 lbs.; never lifting over 25 lbs.
