Corporate Transactions Senior Associate Attorney Direct Counsel is seeking a Corporate Transactions Senior Associate Attorney to join a highly regarded Am Law 100 firm in Atlanta, Georgia or Chicago, Illinois. This is an outstanding opportunity for an attorney with 5–7 years of corporate transactional experience to join a nationally recognized practice advising clients on sophisticated mergers and acquisitions and other strategic corporate transactions. Key Responsibilities Represent public and private companies, private equity sponsors, and strategic investors in mergers, acquisitions, divestitures, and other complex corporate transactions. Draft, review, and negotiate purchase agreements, transaction documents, and ancillary agreements. Conduct and manage legal due diligence and coordinate transaction teams through all phases of a deal. Advise clients on transaction structuring, risk allocation, and corporate governance matters. Collaborate with attorneys across multiple practice areas to deliver comprehensive legal solutions for complex transactions. Qualifications J.D. from an accredited law school with excellent academic credentials. Active Bar membership in good standing. 5–7 years of corporate transactional experience at a law firm. Significant experience handling mergers and acquisitions is required. Strong drafting, negotiation, analytical, and project management skills. Excellent interpersonal, written, and verbal communication abilities. Ability to manage multiple matters while working effectively in a collaborative team environment.
