Key Responsibilities

Serve as a trusted legal advisor to executive leadership, division leaders, and program executives on complex legal, regulatory, and strategic matters.

Identify and mitigate enterprise-wide legal, regulatory, and reputational risks while developing practical, business-oriented solutions.

Develop scalable legal frameworks, policies, templates, and decision-making processes to support organizational growth and compliance.

Advise on nonprofit and tax-exempt governance, including corporate law, conflicts of interest, related-party transactions, lobbying restrictions, and regulatory compliance.

Oversee legal matters involving multi-entity corporate structures, including entity formation, governance, intercompany agreements, and regulatory filings.

Provide legal guidance on government and defense contracting matters, including FAR/DFARS, subcontracts, teaming agreements, intellectual property, and organizational conflicts of interest.

Advise on international trade compliance, including ITAR, EAR, OFAC sanctions, export controls, and related regulatory requirements.

Collaborate with Finance, Contracts, HR, IT/Security, and other departments to integrate legal considerations into business decisions.

Support board and committee governance, including meeting preparation, resolutions, corporate records, and governance documentation.

Serve as a key legal leadership resource and provide support to the Chief Legal Officer on enterprise-wide initiatives.

Qualifications

Juris Doctor (J.D.) from an ABA-accredited law school.

Active license and good standing with at least one U.S. state bar. Texas licensure is strongly preferred.

8+ years of progressively responsible legal experience, with substantial in-house or comparable advisory experience.

Experience in the defense industry, government contracting, or working with federal agencies or prime contractors is highly desirable.

Familiarity with nonprofit and tax-exempt organization governance, including 501(c)(3) or 501(c)(6) structures.

Experience managing corporate entities, subsidiaries, affiliates, or multi-entity organizational structures.

Prior board governance or corporate secretary experience is preferred.

Strong business judgment, strategic thinking, and the ability to deliver practical legal guidance in complex and evolving environments.

Excellent communication, organizational, and interpersonal skills, with the ability to influence and collaborate with senior stakeholders.

High ethical standards, discretion, adaptability, and the ability to manage multiple priorities.

Additional Details

Compensation: $149,760–$187,200 annually, depending on experience, skills, location, and other factors.

Work Arrangement: On-site in Bryan, TX. Candidates in the DC Metro area may be considered for on-site work at the organization's DC office.

Travel: Minimal to none, with occasional travel to headquarters or the DC office as needed.
