Direct Counsel is seeking a Tax Associate to join a prestigious and growing Tax practice in Dallas. This is an exceptional opportunity for an attorney interested in sophisticated transactional tax matters involving private equity, M&A, capital markets, investment funds, energy transactions, and real estate matters.
The ideal candidate will have strong technical tax knowledge, excellent analytical abilities, and experience advising clients on complex business transactions.
Responsibilities- Advise clients on the tax aspects of sophisticated business transactions
- Support strategic and private equity mergers and acquisitions
- Counsel clients on capital markets transactions, including IPOs and spin-offs
- Advise on investment fund formation and structuring matters
- Provide tax guidance on energy transactions, including oil & gas and energy transition projects
- Advise on real estate transactions, including REIT-related matters
- Conduct tax research and prepare detailed tax analyses and memoranda
- Draft and review transactional documents with tax-related provisions
- Collaborate with attorneys across corporate, private equity, capital markets, energy, funds, and real estate practices
- Participate in client development initiatives and industry presentations
- J.D. from an accredited law school
- Law school class years 2019–2025
- Strong understanding of transactional tax law
- Experience in one or more of the following areas:
- Strategic M&A transactions
- Private equity transactions
- Capital markets transactions
- IPOs and spin-offs
- Investment fund formation
- Energy taxation
- Oil & gas transactions
- Energy transition projects
- Real estate and REIT matters
- Excellent tax research and writing abilities
- Outstanding analytical and problem-solving skills
- Strong oral communication and interpersonal skills
- Ability to think creatively and strategically about complex tax issues
- Top academic credentials
- Interest in direct client interaction and professional development opportunities
- Salary range: $225,000 – $420,000
