PositionOverview TalleyLawGroupishiringanEstatePlanning&CorporateAttorneywithapproximately4to6yearsofexperiencewhoisequallycomfortablebuildinganestateplanandsettingupacompany.Therolepairsestate,trust,andgiftplanningwithentityformationandongoingcorporategovernanceforthecloselyheldbusinessesandbusinessownersTalleyserves.Estateplanningisthecorecraft;entityformationandcorporategovernancesupplysteadyvolumeandarewheretheattorneywillspendmoretimewhenplanningworkslows,sothedeskstaysfullyear-round. Theattorneydraftstheirowndocumentsandmanagestheirownfilings,usingthefirm'sAIandlegaltechnologyplatformsforleverage.Paralegalsupportisavailableforfilings,statementsofinformation,signaturepackages,andadministration,butisreservedforgenuineoverflowratherthanfordelegatingdraftingwork–candidateslookingtosuperviseandmarkupsomeoneelse'sdraftsarenottherightfitforthisrole.Theattorneywillalsoworkdirectlyalongsidethefirm'sCPAsonScorporationelections,entityclassificationelections,andfiduciaryandgiftfilings,ratherthanreferringthatworkout. KeyResponsibilities EstatePlanning Adviseonmoderatetoadvancedestate,trust,gift,andincometaxplanningstrategies,includingwealth-transferstructuring,businesssuccessionplanning,andtax-efficiententitystructuring. Draftandstructurerevocablelivingtrusts,irrevocablegifttrusts,andadvancedtransferinstruments,includingGRATs,IDGTs,andSLATs. Managetrustadministrationmattersforhigh-net-worthclients,includinginterpretationoftrustterms,fiduciaryguidance,andbeneficiarycommunications. Conductlegalresearchandpreparetechnicalmemorandaontaxandestateissues. Coordinatewiththefirm'staxgrouponfiduciary,gift,andestatetaxfilings;directreviewofthosereturnsiswelcomedandwouldbeputtouse,butisnotrequired. Handleestateadministration,includingidentifying,validating,andcoordinatingthetransferofbeneficiary-designatedandjointlytitledassets. Manageuncontestedprobateadministrationmatters,includinginterpretationofwillterms,intestatestatutes,fiduciaryguidance,andbeneficiarycommunications,incollaborationwithfinancialadvisors,CPAs,andotherprofessionalsimplementingintegratedwealth-planningstrategies. Corporate&EntityWork Formentitiesfromstarttofinish,includingnameclearance,articlesandcertificatesofformation,statementsofinformation,EINapplications,andinitialorganizationaldocuments. Draftthegoverningdocumentsthatfollowformation,includingoperatingagreements,bylaws,shareholderandbuy-sellagreements,andmembershipandstocktransferinstruments. Prepareandmaintaincorporategovernancerecords,includingorganizationalandannualminutes,writtenconsents,resolutions,officerandmanagerappointments,andunitandshareledgers. Handleentitymaintenanceandcleanup,includingamendments,restatements,conversions,foreignqualifications,dissolutions,andremediationofgapsinaclient'scorporaterecord. Coordinateentitytaxelectionswiththefirm'staxgroup,includingScorporationelections,entityclassificationelections,andlateelectionrelief. AcrossBothPracticeAreas Ownmattersendtoend,includingfilings,signaturepackages,andfilecloseout,withparalegalsupportreservedforgenuineoverflowratherthandelegateddrafting. Usethefirm'sAIplatformandlegaltechnologytodraft,review,andmovevolume,andcontributetothetemplatesandworkflowsthedepartmentrunson. Maintainstrongclientrelationships,deliverclearcommunication,andensureahigh-touchclientexperiencethroughouttheplanningandadministrationprocess. RequiredQualifications JurisDoctor(JD)fromanaccreditedlawschool. CaliforniaBaradmissionrequired. Approximately4to6yearsofexperiencespanningestateplanningandbusinessentitywork,includingtrustdrafting,trustadministration,entityformation,andcorporategovernance. Demonstratedabilitytoworkonmoderatetoadvancedestateandincometaxplanningmatters,andexperiencedraftingandstructuringawiderangeoftrustvehicles. Experiencedraftingentityformationandgovernancedocuments,includingoperatingagreements,bylaws,minutes,resolutions,andwrittenconsents. Atrackrecordofrunningmattersindependentlywithoutadedicatedparalegal,includingpreparingfilings,assemblingsignaturepackages,andmanagingclientdeadlines. WorkingfluencywithlegaltechnologyandAI-assisteddraftingandreviewtools,andawillingnesstoadoptthefirm'splatforms. Strongwrittenandverbalcommunicationskills,withconfidenceinteractingwithhigh-net-worthclients. Highattentiontodetailandtheabilitytomanagemultiplecomplexmatterssimultaneously.
