Senior M&A Counsel [Remote]

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Senior M&A Counsel based in the United States.

This role serves as the primary legal partner for corporate development and strategic growth initiatives, supporting transactions from initial structuring through closing and post-transaction integration. You will work closely with Corporate Development, Finance, Tax, People and Culture, and executive leadership to provide practical, risk-adjusted legal guidance. The position covers a steady pipeline of domestic and international acquisitions, divestitures, and strategic transactions. You will lead due diligence, negotiate transaction documents, manage external counsel, and coordinate legal input across multiple jurisdictions. The role also offers an opportunity to modernize M&A practices through scalable processes, legal technology, and AI-enabled solutions. Accountabilities:

• Lead a continuous pipeline of domestic and international M&A transactions, including acquisitions, divestitures, and other strategic corporate transactions, guiding matters through the full deal lifecycle.
• Provide clear, practical, business-oriented legal advice from initial transaction structuring through negotiation, signing, closing, and post-transaction integration, helping stakeholders balance commercial objectives with legal and regulatory risk.
• Draft, review, and negotiate stock purchase agreements, asset purchase agreements, and related ancillary transaction documents.
• Lead and manage legal due diligence, identifying material issues and translating findings into clear risk assessments, recommendations, and mitigation strategies.
• Advise on transaction structures, key legal risks, and appropriate mitigation approaches across multiple jurisdictions and transaction types.
• Coordinate with internal subject-matter experts across areas such as privacy, intellectual property, information security, product, employment, and other relevant functions to evaluate transaction-related risks.
• Manage outside counsel across transactions, ensuring high-quality legal support while maintaining efficient and cost-conscious use of external resources.
• Coordinate post-transaction integration planning and execution, including governance, contractual obligations, employee-related matters, and operational agreements.
• Develop and implement scalable M&A processes, playbooks, and best practices designed to improve transaction efficiency, consistency, knowledge management, and risk management.
• Monitor legal, regulatory, market, and transactional trends relevant to M&A and identify opportunities to strengthen the organization’s approach to strategic transactions.
• Leverage modern legal technology and AI-enabled tools throughout the M&A lifecycle to improve diligence, efficiency, knowledge management, responsiveness, and cost effectiveness.

Requirements:

• J.D. degree and active bar membership in at least one U.S. jurisdiction.
• 5+ years of experience practicing as an M&A attorney, gained within a top law firm, relevant in-house legal environment, or a combination of both.
• Demonstrated experience drafting, negotiating, structuring, and advising on mergers and acquisitions and other strategic transactions.
• Experience leading or supporting transactions from legal due diligence through closing, including coordinating and managing external counsel across multiple jurisdictions.
• Strong understanding of transaction processes, legal risk assessment, deal structuring, negotiation, and post-closing integration considerations.
• Ability to provide commercially minded legal advice and translate complex legal issues into clear, actionable guidance for business leaders and cross-functional stakeholders.
• Strong project management, communication, collaboration, and stakeholder-management skills, with the ability to manage multiple transactions and priorities simultaneously.
• Experience working with modern legal technology, including AI tools, with a demonstrated willingness to use technology to improve efficiency, responsiveness, knowledge management, and client service.
• Ability to operate effectively in a fast-paced, global, and highly collaborative environment while exercising sound independent judgment.

• Annual base salary ranges vary by location: $153,300–$252,900 in Colorado , $153,300–$279,600 in Washington , $153,300–$306,300 in California , and $185,500–$306,300 in New York City .
