Corporate Paralegal (Century City)

Established and respected law firm is seeking a Corporate Paralegal with corporate transactional experience to join its growing team. This is an excellent opportunity for a detail-oriented professional who can step in and contribute immediately. Key Responsibilities Handle entity formations, foreign qualifications, mergers, acquisitions, conversions, and dissolutions Prepare corporate governance documents, including board and shareholder resolutions and minutes Maintain corporate records and assist with annual filings Support transactional matters, including due diligence, closings, closing binders, and post-closing deliverables Manage stock issuances, transfers, options, and capitalization records Prepare UCC filings, lien searches, and various regulatory filings Conduct legal and corporate research Qualifications Bachelor's degree required 2+ years of corporate transactional paralegal experience Strong experience with entity formations and corporate governance Knowledge of Delaware and California corporate law requirements Experience supporting M&A, financing transactions, or securities matters is a plus Strong legal research, organizational, and communication skills Proficiency with Microsoft Office Suite, Adobe, and corporate record management systems Schedule: Monday-Friday, 9:00 AM-6:00 PM Salary: $75,000-$85,000+ depending on experience All qualified applicants will receive consideration for employment without regard to race, color, national origin, age, ancestry, religion, sex, sexual orientation, gender identity, gender expression, marital status, disability, medical condition, genetic information, pregnancy, or military or veteran status.
