About the Role
The Company is in search of a Corporate Securities Counsel to take on a pivotal role in the organization. The successful candidate will be the primary legal expert in securities and corporate governance, with a focus on IPO readiness, capital markets, SEC reporting, and compliance activities. This position demands a strategic and experienced professional with a Juris Doctor (J.D.) from an accredited law school, active bar membership, and a minimum of 10 years' corporate and securities law experience. The role involves close collaboration with the Chief Legal Officer, executive leadership, and the Board of Directors to ensure the company's legal, fiduciary, and compliance obligations are met, particularly in the context of a potential transition to a publicly traded company. Key responsibilities for the Corporate Securities Counsel include leading the legal workstreams for IPO preparation, serving as a subject matter expert on securities laws and capital markets transactions, and developing public company governance structures. The ideal candidate will have a strong background in SEC reporting, and compliance, and experience in advising on a range of corporate governance matters. A background in the biotechnology, pharmaceutical, healthcare, or life sciences industry is strongly preferred. The role requires a business-oriented legal professional with the ability to provide practical advice, exercise sound judgment, and operate effectively in a fast-paced, growth-stage environment. The candidate should be adept at managing relationships with external counsel, auditors, investment bankers, and regulators, and be committed to the core values and principles of the company.
