Corporate Associate | 1-4+ Yrs. | $365K - $435K salary + bonus (NYC) M&A, Private Equity, Finance & Capital Markets (Am Law Firm | Hybrid) Client: Am Law 100 Global Firm Location: New York, NY (Manhattan) Experience: 1-4+ years Compensation: $365,000-$435,000 base salary, plus annual bonus Our client, a Top AmLaw 100 global law firm , is seeking a Corporate Associate to join its New York office in Manhattan (NYC). This is an excellent opportunity for a New York law firm lawyer to work on sophisticated domestic and cross-border transactions spanning M&A, private equity, acquisition finance, securities offerings, and capital markets matters. The associate will work closely with experienced attorneys, counsel, partners, and leading clients on complex, high-value transactions across a variety of industries and jurisdictions. Responsibilities Draft, review, and negotiate stock and asset purchase agreements, merger agreements, business combination agreements, joint venture documents, and related transactional materials Support domestic and cross-border mergers and acquisitions (M&A) and/or private equity transactions, including matters involving transportation and infrastructure projects Draft and negotiate credit agreements, purchase agreements, indentures, term sheets, security documents, intercreditor agreements, and other financing documents Assist with registered and unregistered securities offerings, acquisition financings, and M&A-related financings Draft and review offering documents, SEC reports and disclosures, legal opinions, comfort letters, and corporate documents Conduct due diligence involving corporate, commercial, litigation, finance, and credit documentation Prepare charters, bylaws, LLC agreements, corporate resolutions, officer certificates, and other governance documents Coordinate signing and closing processes for M&A, private equity, financing, and securities transactions Work with clients and local counsel across multiple jurisdictions on cross-border matters Qualifications Juris Doctor (J.D.) from an ABA accredited law school Admission to the New York Bar, current and in good standing 1 to 4+ years of relevant corporate transactional experience Experience with mergers & acquisitions (M&A), private equity, finance, securities, capital markets, or a combination of these areas Strong transactional drafting, due diligence, negotiation, and closing experience Experience handling sophisticated domestic or cross-border transactions Excellent academic credentials, communication skills, and attention to detail Compensation and Benefits Base salary of $365,000 to $435,000 / year PLUS Annual bonus Comprehensive medical, dental, and vision coverage 401(k) and retirement benefits Generous paid time off and holidays Paid parental and family leave Wellness, professional development, and employee assistance programs Hybrid work schedule #J-18808-Ljbffr C&M Legal Search
