Compliance Attorney

Position Summary The Compliance Attorney assists the General Counsel’s Office with tasks related to engagement letters and client outside counsel guidelines, reviews client questionnaires, Codes of Conduct, NDAs and other risk‑creating requests, supports the Business Development Group’s compliance with professional responsibility rules in external communications, liaises with the Vendor Management Office on business services contracts, and assists with conflicts analysis for lateral attorney hires. The role requires frequent interaction with senior counsel, associates and administrative personnel and demands availability outside normal office hours. Engagement Letter Review client engagement letters. Monitor engagement letter compliance. Maintain a repository of client engagement letters. Consult with Associate General Counsel and Assistant General Counsel regarding engagement letter questions, liaising with responsible lawyers to respond to client requests. Assist in the preparation of engagement letters. Client Outside Counsel Guidelines Review client Outside Counsel Guidelines and prepare draft responses. Consult with senior counsel regarding responses and liaise with responsible lawyers. Monitor status of Outside Counsel Guidelines responses and correspondence. Maintain a repository of client Outside Counsel Guidelines. Client Questionnaires, Codes of Conduct, NDAs and Other Requests Review due diligence and information security questionnaires for compliance and risk issues, prepare draft responses. Review Terms and Conditions associated with RFPs, Codes of Conduct, or other client requests and prepare draft responses. Review and mark‑up NDAs and advise lawyers. Business Development Compliance Initiatives Client Marketing Restrictions – Maintain the system for tracking and implementing restrictions; analyze responses, develop training materials. Attorney Advertising – Address rule and policy issues, monitor legal developments, review firm communications, develop training. Social Media – Maintain compliance with rules for attorney social media use, update policy, respond to inquiries, review blogs and microsites, develop training. Vendor Management Office Contract Review Support business services personnel by liaising with the Vendor Management Office on contract review and revision. Advise VMO contract reviewers on risk‑creating provisions such as representations, warranties, liability limits, indemnification. Lateral Attorney Conflicts Analysis Review lateral attorney conflicts reports and identify potential conflicts. Communicate with candidates and relevant attorneys about conflicts. Draft conflicts waiver request letters for review. Implement ethical walls as appropriate. Consult with Managing Attorney on notifications to government agencies and courts. Document conflicts resolution, including waivers obtained or relied upon. General Responsibilities Provide evening and weekend on‑call coverage. Complete special projects as needed. Law degree from an accredited law school and admitted to practice in New York. Minimum three years of experience at a large law firm. Experience in a General Counsel’s office or compliance is a plus. Education and/or Experience Law degree from an accredited law school, licensed and in good standing to practice in New York, and a minimum of three years of experience at a large law firm.
