Mid-Level Corporate Attorney: Technology Deal Work in the Heart of Silicon Valley

Our client, a leading law firm with a busy Silicon Valley corporate practice, is seeking a mid-level Corporate Attorney with 4+ years of experience for its San Jose, California office. The group represents emerging and established technology companies, founders, and investors in venture financings, mergers and acquisitions, and general corporate matters.

This is an in-office role in San Jose, where you will work closely with partners and a collaborative transactional team.

What You'll Do

• Represent companies and investors in venture capital financings
• Draft and negotiate merger, stock purchase, and asset purchase agreements
• Advise clients on entity formation, governance, equity compensation, and securities compliance
• Lead due diligence and manage closings
• Supervise junior associates and coordinate with IP, tax, and employment colleagues

What We're Looking For

• J.D. from an accredited law school
• Active member of the State Bar of California in good standing
• 4+ years of corporate transactional experience at a law firm
• Emerging company or technology transactions experience preferred
• Excellent drafting, negotiation, and communication skills
• Willingness to work in office as part of a close-knit team
