You’ll guide startups and investors from formation through late-stage financings and exits, drive strategic counseling, and manage complex transactions—ideal for a dealmaker pursuing Mountain View legal jobs with scale and impact. ________________________________________ Key Responsibilities Advise on venture capital financings, mergers, acquisitions, and other strategic transactions. Draft, review, and negotiate term sheets, stock purchase agreements, investor rights agreements, and related documents. Provide day-to-day corporate counseling on governance, equity structures, compliance, and scaling strategies. Lead legal due diligence and risk assessments; manage multi-party deal processes. Collaborate with tax, employment, IP, and regulatory teams to deliver end-to-end client solutions. Track market terms and evolving laws to keep clients ahead of trends. ________________________________________ Qualifications 10+ years in corporate law with a focus on venture capital and emerging companies. Demonstrated record representing startups, venture funds, and growth investors across financings and M&A. Outstanding negotiation and drafting skills; comfort running multiple complex deals. Business-savvy client counseling and relationship management.
