Mid-Level Mergers & Acquisitions Associate

A leading national law firm is seeking a mid-level Mergers & Acquisitions Associate to join its corporate practice in Chicago.

The ideal candidate will have 3+ years of sophisticated corporate and transactional experience, with a strong focus on mergers and acquisitions, joint ventures, private equity transactions, and other complex corporate matters. Experience working on private equity-sponsored and middle-market transactions is particularly valuable.

Key Responsibilities

• Draft and negotiate definitive and ancillary transaction documents
• Handle sophisticated mergers and acquisitions
• Advise on private equity-sponsored transactions
• Work on joint ventures and other strategic transactions
• Manage legal due diligence processes from start to finish
• Advise private companies, investors, and portfolio companies on corporate matters
• Assist with debt and equity financings
• Handle entity formation and corporate governance matters
• Draft and negotiate commercial agreements
• Coordinate transactions throughout the full deal lifecycle
• Work directly with partners, clients, opposing counsel, and other deal professionals
• Manage multiple transactions and competing deadlines
• Take on increasing responsibility for deal management and client communication

Qualifications

• 3+ years of corporate/M&A experience
• Experience within a law firm or similar sophisticated transactional environment
• Strong experience drafting and negotiating transaction documents
• Experience with M&A, private equity, joint ventures, and complex corporate transactions
• Middle-market transaction experience preferred
• Strong legal writing, communication, and problem-solving skills
• Ability to quickly understand and navigate complex legal and business issues
• Strong organizational and deal-management skills
• Ability to manage multiple matters efficiently
• Team-oriented approach with an interest in contributing to the continued growth of a national corporate practice
• Excellent academic credentials
• J.D. from an accredited law school
• Active bar admission in the jurisdiction where the candidate intends to practice
