Key Responsibilities

• Lead and support sell‑side M&A transactions , frequently opposite private equity buyers or PE‑backed acquirers.
• Advise clients across industries, with strong exposure to healthcare and defense contracting transactions.
• Provide occasional support for hospital and healthcare regulatory matters when needed.
• Draft, review, and negotiate key transactional documents, including purchase agreements, disclosure schedules, and ancillary agreements.
• Conduct due diligence and deliver practical, commercially aligned guidance throughout the transaction lifecycle.
• Collaborate closely with partners and senior attorneys on deal execution and ongoing client relationships.
• Provide solutions‑oriented legal advice that matches clients’ business objectives.

Ideal Candidate Profile

• 6+ years of corporate transactional experience (sell‑side M&A strongly preferred).

• Ability to work both independently and collaboratively.
• NY or FL bar strongly preferred (or ability to obtain admission).
