Legal Counsel

Job Overview Samsung SDS plays a leading role in the global logistics market with unique logistics services. With its innovative IT technology, SDS has developed the integrated logistics solution called “Cello” in 2010, started its logistics business in 2012 and expanded its logistics business with Business Process Outsourcing. The position seeks a junior‑level attorney with at least four years of legal practice, including one year of transactional experience in logistics, transportation, and warehouse management. The role will provide legal counsel and support corporate stakeholders in various aspects of the company’s operations. Responsibilities Draft, review, and negotiate contracts, including transportation agreements, warehousing contracts, service agreements, and vendor contracts; ensure compliance with relevant laws and reflect the best interests of the company. Identify potential legal risks and provide proactive advice and solutions to mitigate them; develop and implement strategies to protect the company’s interests and minimize legal exposure. Stay updated on federal, state, and local regulations pertaining to logistics, transportation, and warehouse management; provide guidance and support to ensure compliance with industry‑specific regulations, including DOT, FMCSA, OSRA and others. Conduct legal research to stay current with evolving legal trends and industry specific issues; translate findings into actionable recommendations. Assist in the resolution of disputes, including contract disputes, claims, and litigation matters; collaborate with outside counsel when necessary. Work across time zones and cultures with a cross‑functional group of stakeholders; assist with ad‑hoc or special projects as requested. Requirements J.D. from an ABA‑accredited law school. Active license to practice law in Texas. Four or more years of legal practice, including at least one year of transactional experience in logistics, transportation, and warehouse management. Working knowledge of industry‑specific regulations such as DOT, FMCSA, OSRA, and logistics and warehousing contracts in general. Experience in different modes of transportation (e.g., truckload, flatbed, LTL, railroad, ocean, import & export). Demonstrated ability to work in a fast‑paced environment, meet stringent timelines, and handle multiple demands simultaneously. Excellent client‑relationship and communication skills, and ability to work with a wide range of people with varying degrees of legal exposure. Ability to work both independently and as a team player. Exceptional attention to detail. Proficient with Microsoft Office Suite (Word, Excel, PowerPoint) and ability to conduct Internet research and learn internal contract management tools (e.g., Cello KMS). Physical Demands Ability to talk and hear while performing duties. Ability to stand, walk, use hands to handle or feel, and reach with hands and arms. Dexterity to write and use computer keyboard and mouse. Multitasking and solving complex issues in a fast‑paced environment.
