JOB SUMMARY

Demonstrate knowledge of the expectations, requirements and regulations pertinent to the Asset Management practice group. Ability to support attorneys or paralegals on a variety of matters and work independently or on a team in accomplishing certain tasks within the Asset Management practice. Responsibilities Independently manages closing logistics for transactions; demonstrates understanding of common types of transactions; drafts supporting certificates and schedules; coordinates large document productions; develops system for tracking delivery of documents; prepares state, UCC, and federal regulatory filings as necessary; resolves common problems encountered in transactions and corrects with minimal assistance; forms appropriate opinions for corrective actions after consideration and deliberations. Demonstrates familiarity of unique or uncommon events in life cycles of public and private companies; familiarity with the state and federal reporting requirements in connection with regulatory matters and company documents. Completes and reviews investor subscription documents, and seeks to ensure accuracy and consistency of responses; and tracks investor subscription documents using spreadsheets and databases. Tracks and maintains corporate minute books and stock record books; maintains and manages database to track location and status of client records and institutional information. Assists in the drafting of entity governing documents, resolutions, consents, minutes, equity ownership documents, and transfer agreements. Review of KYC documentation, including entity governing documents, tax documents, and personal identity verification documents. Develop knowledge of entity legal structures. Drafts closing documents including, but not limited to, closing certificates, partnership and operating agreements and side letters; coordinates legal closing of private investment funds to meet client deadlines. Identifies opportunities to improve existing workflows through technology and AI-enabled tools and collaborates with attorneys, paralegals, practice technology, and other firm resources to support adoption of effective and responsible technology-enabled processes. Participates in required training and maintains proficiency with firm-approved AI and legal technology tools relevant to the role, including understanding their capabilities and limitations. Adheres to all firm policies and requirements regarding the responsible use of artificial intelligence and other technologies, including requirements relating to client confidentiality, data security, privilege, accuracy, and appropriate human oversight.

EDUCATION, EXPERIENCE AND SKILLS REQUIRED

The successful candidate will have a bachelor's degree and want a career position. Three years experience as a corporate paralegal or comparable work experience preferred . The position will involve significant contact with lawyers and paralegals at the firm and requires strong interpersonal and communication skills. The candidate must be a demonstrated self-starter who is both highly organized and a team player. The successful candidate should also demonstrate comfort learning and working with new technologies and a willingness to develop proficiency in firm-approved artificial intelligence and legal technology tools. Prior experience with legal AI tools is helpful. The ability to critically assess technology-assisted work product, verify outputs, protect confidential information, and exercise sound judgment regarding appropriate use is essential. Working Conditions The candidate will work the standard work hours with expected overtime. Incumbent is expected to work the hours necessary to fulfill the responsibilities of the position. The anticipated pay range for this role is listed below and represents our good faith and reasonable estimate of the starting salary range at the time of posting. In addition, this role is eligible for a discretionary bonus based on performance. The actual offered rate for this position will be determined based on job-related, non-discriminatory factors, including qualifications and experience, geographic location, education, external market data and consideration of internal equity. San Francisco: $87,500 - $133,450 Los Angeles: $77,000 - $117,450 Working Conditions This position requires hybrid on-site presence as an essential function of the role.
