Corporate Paralegal

A leading law firm is seeking an experienced Corporate Paralegal to join its dynamic team in one of several East Coast offices. Responsibilities

• Assist attorneys with corporate governance, business planning, and transactional matters.

• Prepare, draft, and organize corporate documents, including formation, dissolution, and maintenance filings.

• Manage entity databases and ensure compliance with state and federal filing requirements.

• Support due diligence processes for mergers, acquisitions, and other transactions.

• Coordinate document execution, closing binders, and post-closing activities.

• Conduct legal and factual research related to corporate and financial matters.

• Communicate effectively with clients, vendors, and internal teams to ensure timely completion of projects.

Requirements

• Minimum of 5 years of experience in corporate governance, business planning, and transactional law.

• Bachelor's degree and/or paralegal certificate required.

• Strong understanding of corporate structures and filing procedures.

• Exceptional organizational skills with the ability to manage multiple priorities and deadlines.

• Excellent written and verbal communication skills.

• Proficient in Microsoft Word and Excel; experience with document management systems preferred.

• Team-oriented attitude and a high degree of professionalism.

Compensation and Benefits

• Salary Range: $76,500 - $179,000 (commensurate with experience).
