Corporate ParalegalThe Opportunity: Corporate ParalegalAbout the Opportunity Our client, a prestigious global law firm, is seeking a highly skilled Corporate Paralegal to join their Corporate practice group. This is an exciting opportunity to work with a team that advises a wide range of clients—from innovative startups to established public companies—on complex transactional, governance, and compliance matters.Position Overview The ideal candidate will have a strong law firm background with demonstrated experience in capital markets transactions (specifically Section 16 filings) and start-up equity management using platforms like Carta. This paralegal will support attorneys in public company compliance, venture financings, and other corporate matters.Prepare and file Section 16 reports (Forms 3, 4, 5) with the SEC.Manage and update cap tables using Carta or similar equity platforms.Assist with startup formations, corporate governance, and financing documentation.Draft board consents, stockholder consents, stock option grants, and related documents.Maintain and organize minute books, stock ledgers, and other corporate records.Support attorneys in M&A, capital markets, and venture capital transactions.Liaise with clients and third parties to collect documentation and track deliverables.Required Qualifications3+ years of experience as a corporate paralegal in a law firm environment.Direct experience with Section 16 compliance and public company filings.Proficiency in Carta or comparable equity management tools.Solid understanding of startup equity, corporate structures, and governance.Strong attention to detail and excellent organizational skills.Bachelor's degree required; paralegal certificate preferred.
