Private Companies Associate AttorneyA premier global law firm is seeking a Private Companies Associate Attorney to join its Washington, DC office. This opportunity is ideal for an attorney interested in representing emerging growth companies, venture-backed startups, founders, venture capital funds, and strategic investors throughout the full business lifecycle.Compensation$260,000 – $390,000Ideal Background• 3–6 years of corporate transactional experience gained at a national or international law firm• Extensive experience representing early-stage and growth-stage companies on sophisticated corporate matters• Experience advising venture-backed companies, founders, boards of directors, venture capital funds, and institutional investors• Experience handling venture capital financings, equity financings, SAFE and convertible note financings, mergers & acquisitions, liquidity events, and other strategic transactions• Experience providing day-to-day corporate counseling, including corporate governance, equity issuances, commercial matters, and board governance• Experience drafting and negotiating stock purchase agreements, investor rights agreements, voting agreements, financing documents, operating agreements, shareholder agreements, and other corporate documents• Experience managing transactions from initial structuring through closing while serving as a trusted advisor to founders and executive leadership• Strong drafting, negotiation, analytical, organizational, and communication skills• Ability to independently manage sophisticated matters while maintaining significant client interaction• Outstanding academic credentials• J.D. from an ABA-accredited law school required• DC bar admission required or ability to become admittedWhy This OpportunityPremier Emerging Companies & Venture Capital practiceSophisticated startup, venture capital, and growth company representationSignificant client interaction and early responsibilityOpportunity to advise innovative founders, high-growth companies, and leading venture capital investorsStrong mentorship and professional developmentCompetitive compensation and outstanding benefitsInterested?Aligned Talent Acquisition is currently working with firms seeking talented attorneys with this type of background.
