Location

Fully remote anywhere in the United States. Attorneys may be located in any state and can be admitted to the bar in any U.S. jurisdiction.

Note

Candidates must have 3+ years of direct commercial contracts experience, including meaningful experience drafting and negotiating technology-related agreements. This is a core requirement for consideration.

Job Description

• Draft, review, and negotiate sophisticated commercial agreements for technology-focused clients.
• Handle agreements such as SaaS agreements, MSAs, SOWs, NDAs, data processing agreements, vendor agreements, licensing agreements, and strategic partnership contracts.
• Advise clients on contractual risk, negotiation strategy, business priorities, and practical solutions.
• Communicate directly with clients and counterparties to drive negotiations and transactions forward.
• Identify legal and commercial issues and provide clear, business-minded recommendations.
• Manage multiple matters independently while maintaining strong responsiveness and attention to detail.
• Collaborate with a forward-thinking legal team focused on improving the efficiency and quality of legal work.

Qualifications

• 3+ years of directly relevant commercial contracts experience.
• Strong experience negotiating agreements involving technology companies, technology products, or technology services.
• Excellent contract drafting, negotiation, communication, and issue-spotting skills.
• Ability to independently manage commercial matters and communicate directly with clients.
• Active bar admission in any U.S. jurisdiction.
• Law firm and/or sophisticated in-house commercial legal experience preferred.
• Experience with SaaS, data privacy-related commercial agreements, licensing, or other technology contracts strongly preferred.
