We are looking for an experienced Corporate Paralegal to join a busy legal team in Phoenix, Arizona, supporting attorneys on a wide range of business transactions and corporate governance matters. This position offers the opportunity to contribute to mergers and acquisitions, venture and angel financings, joint ventures, debt-related matters, and ongoing outside general counsel work for clients. The ideal candidate is organized, responsive, and comfortable managing detailed legal documentation while working directly with both attorneys and clients in a fast-paced practice.

Responsibilities:
• Support the setup and maintenance of business entities, including domestic and out-of-state corporations and limited liability companies.
• Prepare, submit, and track recurring compliance filings such as annual reports and other jurisdiction-specific corporate documents.
• Draft governance materials, including board actions, stockholder approvals, and related records for both private and public companies.
• Maintain minute books, entity records, and other corporate documentation to help ensure accurate and current files.
• Assist with contract review and help organize legal documents connected to complex commercial and transactional matters.
• Coordinate transaction execution by assembling signature packets, managing closing checklists, and tracking deliverables through closing.
• Gather, review, and organize diligence materials, including administration of electronic data rooms for active deals.
• Prepare post-closing materials such as closing binders, and assist with securities-related filings, Blue Sky research, and Form D submissions as needed.
• Support intellectual property-related administrative filings, including trademark applications and related documentation where applicable.• At least 3 years of corporate paralegal experience, preferably within a law firm or corporate legal environment.
• Bachelor's degree, paralegal certificate, or a comparable combination of education and relevant corporate legal experience.
• Demonstrated ability to manage multiple assignments at once and adapt quickly as priorities change within a collaborative team setting.
• Confidence working directly with clients and attorneys while maintaining professionalism and responsiveness.
• Strong attention to detail with well-developed organizational and time-management abilities.
• Clear written and verbal communication skills, with the ability to prepare accurate legal documents and correspondence.
• Proficiency with Microsoft Word, Excel, Outlook, Adobe, and DocuSign; familiarity with cap table platforms such as Carta is an advantage.
• Exposure to AI tools and an understanding of how technology can support legal work is considered a plus.
