Senior Corporate Counsel (Venture / Emerging Companies)Location - Remote or Hybrid (NYC or Boca Raton, FL)$180K+ base salary + bonus Significant bonus structure based on performanceOverviewA growing and highly collaborative legal practice is seeking a Corporate Counsel with strong venture capital and emerging companies experience to join its corporate legal team.The firm partners with innovative, high-growth startups and emerging companies, serving as trusted legal advisors across all stages of the business lifecycle. Attorneys in this role operate in an outside general counsel capacity, working directly with founders and leadership teams to provide strategic legal guidance while supporting company growth.This role offers an entrepreneurial and client-facing environment, where attorneys take ownership of matters, lead sophisticated transactions, and collaborate closely with clients as strategic partners.The position is designed to provide strong work/life balance, with an expected average of 100–130 billable hours per month, significantly lower than traditional law firm expectations.Key ResponsibilitiesLead and negotiate venture capital equity financings, managing transactions from term sheet through closing and post-closing mattersAdvise startups and emerging companies on a broad range of corporate matters across the business lifecycleStructure and negotiate debt financings and mergers & acquisitions transactionsCounsel clients on corporate legal matters including: company formationscapitalization and cap table managementsecurities law compliancesecondary salescorporate governanceServe as a strategic legal advisor to founders and executive teams as companies scaleDevelop and implement legal frameworks, policies, and processes that support operational growthCollaborate with attorneys and paralegals across matters while maintaining strong client relationshipsManage multiple client matters simultaneously in a fast-paced, entrepreneurial environmentQualifications6–7+ years of corporate law experience in a law firm and/or in-house settingStrong venture capital financing experience (required), including leading equity financings from term sheet through closingExperience advising startups, founders, and emerging companiesExperience handling M&A transactions and debt financingsStrong client-facing experience with the ability to build trusted relationshipsExcellent academic credentialsStrong drafting, negotiation, and communication skillsEntrepreneurial mindset and practical problem-solving approachActive bar membership in the state of residence or willingness to work onsite in the state where licensedWhy This OpportunityWork closely with high-growth startups and foundersLead venture financings and strategic transactionsSignificant bonus structureStrong work/life balanceLow billable hour requirement (100–130 hours per month)Collaborative and entrepreneurial legal teamOpportunity to operate in a true outside general counsel role
