Experienced Commercial Real Estate Finance Attorney
Boutique Commercial Real Estate LawFirmlocated in Midtown Manhattanseeks attorney with 5-15 yearsofexperiencerepresenting lenders in connection with sophisticated commercial real estate transactionstojoin itsrobustCommercial Real Estate LendingPractice.
Duties:
Represent institutionaland privateequitylenders inconnection with thefinancingofcommercialand mixed-use properties, from inception to closing.
Draftsenior, subordinate, mezzanine, preferred equity andrelatedloan documents, as applicable,to secureany applicabletranche of the capital stack. Experience withsenior mortgage, junior mortgage,mezzanine, construction, balance sheet, bridge loans, participation agreements, and note-on-note financing.
Performdetailedreview of organizational documents on borrowing entitiesand necessary revisions thereto.
Draft, reviewand revisecommitment letters, term sheets, fee letters, credit agreements,ancillary loan documents, modification agreements, forbearance agreements, estoppels, SNDAs, intercreditor agreements, participation agreements, co-lender agreements and note-on-note financing documents.
Overseereal estatesecured finance transactions, workouts, and restructurings.
Review title reports, surveys, and oversee title clearance.
Qualifications:
The ideal candidate will thrive in a fast-paced environment and possess excellent legal writingand draftingskills, with the ability to quickly pivot to accommodate the vagaries of each real estate transaction. Strong analytical, organizational, and prioritization abilities, along with effective communication skills for client interactions, are essential.Proficiencywith Microsoft 365is necessary. Must be admitted in New York.
