Paralegal, Sr. Specialist

Location Designation: Hybrid - 3 days per week Role Overview We are seeking a proactive and detail‑oriented paralegal to support the Corporate Transactions unit within the Office of the General Counsel in connection with corporate finance transactions, mergers and acquisitions, and general corporate matters. This role will play a key part in managing transaction processes, maintaining corporate records, and partnering with internal stakeholders across the organization. What You’ll Do Organize and maintain a virtual data room for ongoing multi‑billion dollar financing program and manage related due diligence processes, including organizing internal document collection and interfacing with outside counsel. Manage documentation and closing deliverables for financing program transactions (approximately 15‑20 per year). Assist attorneys in preparing and finalizing updated materials for securities offerings. Oversee execution of transaction documents, including managing signature processes and maintaining records of executed agreements. Coordinate submission of regulatory filings and reports. Prepare and maintain transaction checklists and assist with transaction closings and post‑closing matters. Maintain records of team transactions. Partner with the head of Corporate Transactions to identify opportunities to improve and modernize how the team works – including evaluating legal technology tools, streamlining transaction workflows, and building more scalable processes. Strong organizational and communication skills. High level of attention to detail and ability to manage confidential information. Ability to manage multiple concurrent workstreams and deadlines in a fast‑paced transaction environment. Proficiency in Microsoft Word and Adobe Acrobat Pro. Preferred Skills Experience with Microsoft Excel. Relevant corporate legal experience. Interest in or experience with legal technology, workflow automation, or document management tools.
