This is an excellent opportunity for an attorney who enjoys working on a broad range of sophisticated business matters in a fast-paced, collaborative environment. The role will focus heavily on structuring, drafting, reviewing and negotiating a variety of agreements while supporting all types of corporate transactions and assisting the litigation team, as needed.Key ResponsibilitiesDraft, review, and negotiate a variety of commercial contractsSupport business transactions from inception through closing, including strategy and due diligenceAssist with all aspects of corporate governance, including entity formation, maintenance, dissolution, windups and disputesSupport litigation strategy and collaborate with and manage outside counsel, as neededAssist clients with domestic and cross-border transactional mattersOther duties as assignedQualificationsActive membership in good standing with the Michigan State BarA minimum of 10-15 years of experience in complex business transactions, including:Merger, acquisition and divesture transactions and related due diligenceAll aspects of corporate formation, governance and maintenanceEquity and asset purchase and sale transactionsFinance transaction documentation, secured and unsecuredReal estate acquisition and divesture transactions and commercial leases, licensing and occupancy transactionsCommercial contracts, including, without limitation, intellectual property licensing, consumer packaged goods and medical devicesExperience drafting and negotiating employment, independent contractor and separation agreementsExcellent communication, analytical organizational and time management skillsAbility to work independently and collaboratively with the team and to effectively manage multiple matters simultaneouslySkilled in balancing legal risk with business objectivesJ.D. from an ABA-accredited law schoolExperience handling business disputes and litigation management is preferredExposure to cross-border transactions preferredExperience in training/oversight of legal assistants preferredCompensation & BenefitsCompetitive base salary commensurate with experienceAnnual bonus opportunityComprehensive benefits package, including medical, dental and vision insurance401(k) with firm contributionsEqual Opportunity Employer
