Associate General Counsel – Private Credit & Corporate Transactions A rapidly growing investment management and specialty finance platform is seeking an experienced Associate General Counsel to join its legal leadership team. This is a highly visible role offering the opportunity to work directly with executive leadership on sophisticated corporate, transactional, governance, and regulatory matters supporting both lending and investment management businesses . This position is ideal for a senior attorney who enjoys taking ownership of complex legal matters, partnering closely with business leaders, and serving as a trusted advisor in a fast-paced, entrepreneurial environmen t. What You'll DoLead and support mergers, acquisitions, joint ventures, strategic investments, and other corporate transactions from structuring through closi ng.Advise on corporate governance matters, including entity formation, board and equity issues, and ongoing management of portfolio compani es.Provide legal support to private investment funds and investment advisory operations, including fund governance and regulatory matte rs.Draft, review, negotiate, and manage a broad range of commercial agreements, including: NDAs, Vendor and service agreements, Engagement letters, Statements of Work (SO Ws)Conduct legal due diligence and provide practical guidance on transactional ri sk. What We're Looking ForJ.D. from an accredited law school with an active U.S. bar lice nse.Approximately 8+ years of corporate legal experience, ideally combining law firm training with in-house experience in investment management, private credit, private equity, or financial servi ces.Strong background in M&A, equity transactions, corporate governance, and complex commercial transacti ons.Experience advising investment funds, investment advisers, or alternative asset managers is highly desira ble.Exposure to specialty finance, asset-based lending, structured finance, or other secured lending products is a p lus.Strong understanding of securities regulations, corporate governance principles, and transactional risk managem #J-18808-Ljbffr
