Director, Stock Administration

Okta is seeking a highly experienced Director of Stock Administration to report to the Sr. Director of Stock Administration. This role will be responsible for fully understanding and managing end-to-end administration of Okta’s equity plans, including equity grants, restricted stock units, performance stock units, option exercises, ESPP administration, and special projects for our Global Equity Plans. The ideal candidate is results-oriented, service-driven, thrives in a fast-paced environment, and has a proven track record of successfully leading daily activities, effectively communicating with internal and external stakeholders, and identifying and implementing process and system improvements in a highly dynamic environment. The Opportunity The successful candidate will be responsible for the administration of Okta’s global equity compensation plans and coordinating with cross-functional partners to ensure accurate processing, reporting, and disclosure of employee stock transactions. What you’ll do Manage international compliance. Partner with Legal, HR, Payroll, Accounting, and Finance to develop processes that ensure the accuracy of all equity data, including record‑keeping, withholding, reporting, reconciliation, and auditing. Ensure proper taxation is applied to all equity exercises and releases. Ensure regulatory compliance for Section 16 executive and Board members and assist in preparing SEC Form filings. Manage the reporting, reviewing, and tracking of Section 10(b)(5)(1) trading plans. Lead and assist with ad‑hoc projects. Create stock reports as requested, assist with stock‑related disclosures, and support internal and external audits. Conduct various stock analysis, modeling, and testing. Administer all forms of equity compensation in accordance with plan terms and conditions. Maintain the overall quarterly calendar of stock administration activities. Implement educational sessions, presentations, and communication materials to support global employee understanding of equity programs and policies. Provide a superior level of service, prioritizing and satisfying multiple questions and requests from employees and management. Improve the stock administration function by introducing best practices, automating routine workstreams, and enhancing controls. Lead system improvement and implementation as needed; assist with equity mobility and international reporting compliance. Assist with equity program communication and employee education. Participate in the conversion and assumption of equity awards during M&A. Process or support bi‑annual ESPP purchases and quarterly RSU releases. Participate in preparing the annual proxy filing, including reviewing equity data. What you need to succeed CEP designation preferred or willing to complete within 18 months. Minimum of 9 years of stock administration experience. Outstanding analytical, communication, and organizational skills. Excellent business judgment, strategic thinking, and ability to manage multiple priorities. Highly detailed oriented with a high degree of accuracy. Ability to inspire action and coordinate simultaneous initiatives. Intellectually curious with an aptitude for creative problem‑solving. Dependable teammate, ready to collaborate with cross‑functional partners (Finance, Legal, HR, vendors). Ability to work in a fast‑paced environment, prioritize competing priorities, and meet critical deadlines. Affinity for customer service with excellent oral and written communication skills. Confident working with various levels of management and handling highly confidential data. Knowledge of regulatory and compliance matters related to equity programs and taxation. Advanced Excel user (pivot tables, XLOOKUP, VLOOKUP). Experience with EEO. The annual base salary range for candidates located in California (excluding the San Francisco Bay Area), Colorado, Illinois, New York, and Washington is between $184,000 – $253,000 USD. Okta also offers equity (where applicable), bonus, and benefits, including health, dental, and vision insurance; 401(k); flexible spending account; and paid leave (including PTO and parental leave) in accordance with our applicable plans and policies.
