Senior Corporate Counsel, Benefits and Executive Compensation

Senior Corporate Counsel position supporting employee benefits and executive compensation matters at a pharmaceutical company. Provides legal guidance on ERISA compliance, plan design, fiduciary governance, and SEC disclosures while assisting with M&A integration efforts.

Responsibilities

Provide legal guidance on health & welfare, pension, and deferred compensation plans with fiduciary oversight
Support plan redesign initiatives through drafting amendments and ensuring regulatory compliance
Coordinate SEC disclosures for proxy statements and forms 10-K and 11-K related to compensation
Draft equity and bonus award agreements and support implementation across the organization
Support M&A integration efforts including employee plan transitions and policy alignment

Requirements

10+ years of legal experience in employee benefits and executive compensation
J.D. from accredited U.S. law school and active law license
Expertise in ERISA, HIPAA, Internal Revenue Code section 409A, and qualified/non-qualified plan regulations
Strong judgment, communication, and cross-functional collaboration skills
Experience supporting senior leadership and corporate transactions

Compensation: $221,340 - $268,212 base
