This description is for guidance purposes only. You may be required to fulfil additional roles and duties as required by the Company from time to time. Responsibilities Provide essential support to the General Counsel by assisting with various legal and corporate tasks, including research, drafting documents, responding to emails, and corporate record maintenance. Handle confidential information with discretion and professionalism. Manage complex projects independently with limited supervision. Proofread agreements for content, accuracy, and formatting. Assist in preparation of agreements and documentation. Review documents for accuracy and completeness before submission for appropriate signatures. Draft and review legal documents, including contracts, agreements, and correspondence. Conduct legal research as needed. Draft corporate minutes, resolutions, and consents. Assist with private placement memorandums (PPMs) and signature packs. Organize and maintain legal files and documents, ensuring documentation is accurate and up to date. Provide administrative support to the General Counsel, including calendar management and scheduling meetings. Manage project management tasks to ensure timely completion of legal projects. Organize and prioritize tasks to meet deadlines efficiently. Support all compliance activities. Monitor the marketing/sales process and interface with deal teams and business development to address regulatory, security, compliance, and tax concerns. Maintain and update global documentation and corporate files for organization and portfolio companies. Possibly fulfill additional roles and duties as required by the Company. About You Paralegal or Legal Assistant experience in a technology operating company or law firm with venture capital and/or private equity exposure. Comprehensive knowledge of U.S. laws, regulations, and business processes relevant to the role, with the ability to apply this expertise in day-to-day operations and decision-making. Experience drafting and filing incorporation documentation. Prior experience working with SEC filings and registrations. Address KYC requirements across funds and entities. Maintain and update global documentation; manage and track corporate files for organization and portfolio companies. Proven experience as a Legal Assistant or in a similar role within a law firm or corporate environment is preferred. Strong skills in legal drafting and document management systems. Strong organizational skills with the ability to manage multiple tasks efficiently. Excellent writing skills with attention to detail. Ability to work in a fast-paced environment with multiple competing priorities. Ability to work independently and collaboratively with team members. Technology savvy and proficient in Microsoft Office Suite (Excel, Word, Outlook, Teams). Experience with corporate transactions. Education: Law degree or bachelor’s degree required. Experience working with Westlaw, Lexis, Carta, Adobe, Docusign, and company registration websites. 4 years’ experience working for a PE or VC firm, corporate law firm supporting corporate transactions, or the corporate law department of a technology firm. #J-18808-Ljbffr
