Corporate Attorney | Palm Beach Gardens, FL


A law firm in Palm Beach Gardens is seeking a Corporate Attorney with 5-7 years of experience and a strong background in drafting sophisticated corporate and transactional documents. The ideal candidate will have substantial drafting experience, strong corporate knowledge, and meaningful tax experience or training.


What You'll Do

• Draft, review, and negotiate sophisticated corporate agreements and transactional documents
• Prepare and revise complex business, governance, and transactional documents with a high level of independence
• Advise businesses and their owners on a broad range of corporate and transactional matters
• Assist with business formations, restructurings, governance, mergers and acquisitions, and related transactions
• Analyze and advise on tax considerations affecting corporate and business transactions
• Work directly with clients to develop practical and tax-efficient solutions to complex business matters

What We're Looking For

• 5-7 years of corporate/transactional legal experience
• Extensive legal drafting experience, particularly with sophisticated corporate and transactional documents
• Strong contract drafting and negotiation skills
• Meaningful tax background highly preferred, including one of the following:
• LL.M. in Taxation
• Prior experience practicing as a tax attorney
• Experience with a major CPA/accounting firm
• Excellent legal writing, analytical, and communication skills
• Active Florida Bar admission preferred
