Contracts Manager (Top Secret Clearance Required)

Role Overview As a Contracts Manager you will be skilled in US Government and commercial contracting, contract negotiation, and work as part of an integrated project team. You will collaborate closely with program managers, finance, legal, and other cross‑functional peers to support proposal preparation, program gate reviews, contract execution, and other contractual matters affecting the business unit’s portfolio. The role is hybrid, performed in Cambridge, MA; Middletown, RI; or Rosslyn, VA, and requires a current Top Secret security clearance prior to start date. Location Hybrid – Cambridge MA, Middletown RI, or Rosslyn VA. What You Will Do Advise and represent the organization on contract matters and act as liaison between internal and external customers. Review, interpret, negotiate, and manage a variety of transactions, including prime contracts, subcontracts with other primes, other transaction agreements (OTAs), non‑disclosure agreements (NDAs), associate contractor agreements (ACAs), and direct commercial sale agreements. Review and assess U.S. Government and commercial customer requests for proposals, identify proposal requirements and risks, assess intellectual property issues, review and redline terms and conditions, manage cost volume development, and work with pricing and estimating to support proposal development. Support gating and securing required management approvals and submission of proposals. Redline, draft, and negotiate complex terms and conditions and other contract documents. Recognize risk elements in business transactions and contracts and offer mitigation strategies or alternatives. Provide strategic analysis, recommendations, and advice related to contract matters. Ensure compliance with company policies, procedures, and standards, including FAR, DFARS, and other applicable U.S. Government regulations. Support global trade (ITAR/EAR) issues and CUI compliance requirements. Work independently, reporting to a Senior Manager, and may mentor or oversee other contract staff. Multi‑task routine and complex contract and proposal activities while responding to unplanned quick‑response requirements. You Must Have University degree or equivalent experience with a minimum of 8 years of relevant experience, or an advanced degree with a minimum of 5 years of relevant experience. Current Top Secret security clearance. Experience engaging directly with customers. Experience with U.S. Government procurement and/or other transaction contracts. Experience applying and interpreting FAR, DFARS, and other applicable U.S. Government regulations in support of proposal and contract administration. Experience preparing and negotiating proposals and contracts, including terms and conditions, statements of work, milestones/deliverables, cost/price and fee/profit arrangements. Willingness to support a hybrid role (mix of in‑person and remote) and travel on a limited basis. Preferred Qualifications TS/SCI eligibility. Strong communication and interpersonal skills to work effectively with cross‑functional internal and external stakeholders. Demonstrated ability to shape results in support of objectives and to resolve problems proactively. Experience leading or administering U.S. Government contracts under FAR/DFARS, including proposal preparation, contract negotiation, and change management. Experience with sole‑source proposals subject to the Truthful Cost or Pricing Data Act (TINA). Experience negotiating complex commercial terms and conditions, including software licensing, international sales, and data rights. Experience with OTAs, NDAs, and ACAs. Familiarity with the Office of Management and Budget Uniform Guidance and with global trade regulations such as ITAR and EAR. Experience ensuring business compliance with company policy. Experience working with supply chain subcontracts and purchasing. Excellent time‑management, organizational, Microsoft Office, and Adobe Acrobat skills.
