Corporate Associate (Attorney)We are working with a highly regarded, sophisticated regional law firm seeking a Corporate Associate to join its Boston, Stamford, New Haven, or New York office. Associates are given substantial hands-on experience and direct client exposure while working closely with experienced corporate attorneys on complex transactions.The ideal candidate will have at least 3 years of law firm transactional experience, including substantial experience drafting and negotiating sophisticated corporate transaction documents. Experience with venture capital transactions and/or mergers and acquisitions is required.Representative matters may include:Venture capital and growth equity financingsMergers and acquisitionsStrategic investments and exitsFormation and structuring matters for emerging companies and investorsCorporate governance and general corporate counselingCommercial and transactional agreement drafting and negotiationExperience with securities law compliance and corporate governance matters is strongly preferred.Candidates should possess:Strong drafting, negotiation, and analytical skillsExcellent written and verbal communication abilitiesStrong attention to detail and sound business judgmentThe ability to independently manage transactional matters while working collaboratively within a team environmentExcellent academic credentialsA proactive and client-focused approach to legal practiceAdmission in good standing in the jurisdiction where the candidate intends to practiceThis opportunity is particularly attractive for attorneys seeking sophisticated corporate work within an independent firm environment that values collegiality, teamwork, and long-term career development.
