Senior Commercial Contracts Counsel

The Senior Attorney, Commercial Contracts will support customer-facing commercial contracting activities within a fast-paced and evolving business environment. This role is responsible for leading the drafting, review, negotiation, and management of complex commercial agreements while providing strategic legal guidance to internal stakeholders across operations, finance, sales, and other business functions. The ideal candidate brings strong negotiation skills, sound business judgment, and the ability to identify and mitigate legal and commercial risks while supporting business objectives. This position requires a collaborative professional who can effectively communicate with stakeholders across all levels of the organization and contribute to continuous improvement within the legal and contracts function. Job Responsibilities Draft, review, negotiate, and advise on a wide range of commercial agreements and related documentation Lead customer-side contract negotiations while balancing legal risk and business objectives Provide practical and strategic legal counsel regarding contractual, commercial, and operational matters Identify, assess, and mitigate legal and commercial risks across various business segments and markets Support agreements including master purchase agreements (MPAs), master service agreements (MSAs), statements of work, end user license agreements, terms of service, consulting agreements, brand label agreements, and joint development agreements Collaborate with cross-functional teams including Finance, Sales, Operations, Tax, Credit, Insurance, and specialty legal practice areas Develop tailored contractual solutions aligned with unique business and market requirements Support dispute resolution matters and apply lessons learned to contract negotiation strategies Maintain strong relationships with internal and external stakeholders through effective communication and collaboration Contribute to process improvements, policy development, and continuous learning initiatives within the legal team Job Requirements Juris Doctor (JD) degree from an accredited law school Active license to practice law in the United States Minimum of 7–10 years of experience as a practicing attorney with significant commercial contracting experience Proven experience negotiating complex sell-side commercial contracts across multiple industries and markets Strong understanding of legal and commercial risk management principles Excellent negotiation, analytical, and problem-solving skills Ability to provide practical, business-oriented legal advice in a fast-paced environment Strong organizational skills with exceptional attention to detail Ability to work independently with minimal supervision while managing multiple priorities Excellent verbal and written communication skills with the ability to adapt messaging to various audiences Strong interpersonal skills with the ability to build relationships across diverse stakeholder groups Ability to collaborate effectively within a team-oriented environment High emotional intelligence and strong business acumen preferred Education Juris Doctor (JD) degree from an accredited law school Active license to practice law in the United States required Work Experience Minimum of 7–10 years of experience as an actively licensed attorney Significant experience negotiating and managing complex commercial contracts in a corporate or law firm environment Experience supporting cross-functional business operations and commercial transactions preferred #J-18808-Ljbffr Equiliem
