Corporate/Business Attorney & Of Counsel Opportunity

Position Overview

Our client is seeking an experienced Corporate & Business Transactions Attorney to join its transactional practice and provide sophisticated legal counsel to business clients.

This is a client-facing law firm opportunity focused primarily on transactional work, rather than litigation or an in-house corporate counsel position. The attorney will advise business clients on a broad range of corporate and commercial matters, manage transactions from inception through completion, and develop and maintain strong client relationships.

The position may be structured as an Of Counsel opportunity for an attorney who brings substantial transactional experience, established client relationships, and/or a portable book of business.

Key Responsibilities

• Advise business and corporate clients on day-to-day transactional and commercial legal matters.
• Draft, review, negotiate, and interpret a variety of business and commercial agreements.
• Handle business formations, organizational matters, corporate governance, and related corporate transactions.
• Counsel clients regarding contracts, business relationships, acquisitions, dispositions, and other strategic transactions.
• Conduct legal research and provide practical, business-oriented legal advice.
• Identify potential legal and business risks and develop appropriate solutions for clients.
• Lead transactions from initial client consultation through negotiation, documentation, and closing.
• Work directly with business owners, executives, entrepreneurs, and other decision-makers.
• Develop and maintain long-term client relationships.
• Collaborate with other attorneys and professionals when matters require additional areas of legal expertise.
• Manage multiple client matters efficiently while maintaining a high level of responsiveness and quality.
• Participate in business development and expansion of the firm's transactional practice.

Ideal Candidate

The ideal candidate is an established transactional attorney who enjoys working directly with business clients and wants to continue practicing law in a law-firm environment.

The successful candidate will ideally have:

• 7+ years of corporate, business, or transactional legal experience.
• Strong experience drafting and negotiating business and commercial agreements.
• Experience with corporate transactions, business formations, governance, or related matters.
• Excellent legal writing, negotiation, analytical, and communication skills.
• Ability to independently manage client matters from beginning to completion.
• Strong client-service orientation and business-development aptitude.
• Ability to understand both the legal and practical business implications of transactions.
• Strong professional judgment and attention to detail.
• Active bar membership in the applicable jurisdiction.

Client Development / Book of Business

An established book of business and portable client relationships are highly desirable , although the firm will consider attorneys with strong business-development capabilities and a demonstrated ability to develop their own client base.
