About the Role
The Company is in search of an Associate General Counsel with a focus on securities to join their dynamic legal and compliance team. The successful candidate will be a key player in the company's SEC filings, ensuring compliance with U.S. federal securities laws, and will be involved in a variety of corporate transactions and general corporate matters. This role demands a top legal professional with a sharp, rigorous, and intellectually versatile approach, capable of delivering practical solutions in a fast-paced, collaborative environment. Key responsibilities include preparing and reviewing offering circulars, ongoing Regulation A reporting, and related SEC filings, as well as supporting compliance across the company's offering, trading, and investor communication activities. The role also involves assisting with regulatory analysis, drafting and negotiating commercial agreements, and maintaining governance documents. Applicants for the Associate General Counsel position at the company should have 4-7 years' of legal experience, with a preference for those who have worked at a nationally recognized law firm. A background in securities, capital markets, M&A, funds, or general corporate law is preferred, and familiarity with the Securities Act of 1933 and the Investment Company Act of 1940 is a plus. The ideal candidate will have a J.D. with outstanding academic credentials, be admitted to a U.S. state bar in good standing, and demonstrate a strong facility with technology, including AI tools. The role requires a business-minded professional with exceptional attention to detail, analytical rigor, and excellent communication skills. Success in this position will be measured by the timely and accurate completion of SEC filings, the quality of legal work across business teams, and the ability to provide practical, business-oriented legal guidance.
