Director of Legal Affairs

OverviewThe Assistant General Counsel will serve as a senior legal leader and trusted advisor to Lutron’s executive leadership team, with ownership for a broad portfolio of commercial, corporate governance, and international legal matters. In this role, you will provide practical, business-focused counsel across commercial transactions, legal entities, board and shareholder relations, M&A, and real estate. You will help leaders anticipate risk, navigate complexity, support international growth, and build scalable legal and administrative processes. You will bring seasoned legal judgment, critical thinking, a long-term business perspective, and a systems mindset to improve how legal work gets done across a global, technology-driven manufacturing business. ResponsibilitiesCommercial Transactions Support commercial-related business transactions for the Shades, Luxury Residential and Strategic Materials business units. Provide practical legal guidance that balances business objectives, risk mitigation, and Lutron values. Executive Counseling Serve as a trusted advisor to executive leadership on complex business and strategic matters with significant organizational impact. Prepare clear legal analysis, recommendations, and decision-ready materials for executive audiences. Legal Entity Governance Oversee legal entity governance, corporate records, and compliance requirements across domestic and international jurisdictions, including foreign subsidiaries. Coordinate with internal stakeholders and outside counsel on entity formation, maintenance, restructuring, and dissolution activities. Mergers & Acquisitions Provide legal support for mergers, acquisitions and other strategic corporate transactions. Advise on legal risks, integration considerations, post-closing obligations, and post-acquisition integration activities. International Legal Support Provide legal guidance supporting business operations in our international locations (excluding Canada and Europe). Coordinate with local outside counsel on cross-border transactions, commercial matters, entity governance, compliance matters, and regional initiatives. Translate complex local legal requirements into clear guidance for business leaders. Real Estate and Government Matters Advise on real estate matters, including leases, property-related agreements, facilities issues and related business support. Partner with internal stakeholders, outside counsel, and external partners to evaluate risk and manage specialized matters efficiently. QualificationsRequiredJuris Doctor (J.D.) from an accredited law school and active license to practice law in at least one U.S. jurisdiction and the ability to obtain a license in Pennsylvania.Strong foundational legal training, preferably gained through a top-tier or nationally recognized law firm. 10+ years of progressively responsible legal experience, including experience advising executive leadership. Significant corporate experience in a leadership capacity, including supervising attorneys, paralegals, or legal professionals. Experience supporting a technology-oriented business with exposure to manufacturing or industrial environments. Proven business acumen and ability to balance legal risk with practical business objectives. Demonstrated experience managing complex legal matters, outside counsel, and cross-functional stakeholders.Excellent written, verbal, presentation, and executive communication skills. Ability to manage multiple priorities, exercise sound judgment, and operate with discretion on confidential matters. PreferredCombination of large law firm and in-house legal experience. Experience with corporate governance, board support, legal entities, international legal matters, M&A, post-acquisition integration, or corporate transactions. Experience working with internationally based teams, particularly in Asia and/or India. Experience with real estate, government, regulatory, and/or public-sector matters. Familiarity with privately held, global, technology, electronics, manufacturing, or industrial companies.
