Senior Corporate Attorney

We are seeking an experienced and highly motivated Senior Corporate Attorney to manage complex business transactions from inception through completion. This role requires a seasoned legal professional who can independently lead matters, provide strategic counsel, and serve as a trusted advisor to middle-market entrepreneurs, preferably with some security experience. This role will be 4- days in our NYC office and one remote.

Key Responsibilities:

• Oversee and manage corporate transactions from initial structuring through closing
• Draft, review, and negotiate a wide range of transactional documents, including: (Buy/sell agreements, Mergers and acquisitions, Corporate formations and restructurings, Shareholder and operating agreements, Commercial contracts and related business agreements)
• Provide strategic legal guidance to middle-market business clients
• Interface directly with clients, opposing counsel, and other stakeholders
• Conduct due diligence and manage transaction timelines
• Identify and mitigate legal and business risks

Qualifications:

• 8–10+ years of experience in corporate and transactional law
• Demonstrated experience handling middle-market business transactions
• Strong drafting, negotiation, and analytical skills
• Ability to independently manage matters from inception to completion
• Excellent client-facing and communication skills

Salary and Other Compensation:

The base salary for this position is between $170,000 – $250,000 annually. Factors that may affect pay within this range include geography/market, skills, education, experience, and other qualifications of the successful candidate.
