Corporate Counsel

Corporate CounselCorporate Counsel will assist the General Counsel and legal department in performing the day-to-day legal work of the Company including, without limitation commercial transactions, regulatory and compliance matters, contract disputes, subpoena responses, investigations, intellectual property protection and other legal projects that may arise. This role sits at the intersection of technology, commercial strategy, and healthcare regulation, supporting the licensing, contracting, and compliance work to empower the business and its clients. The Corporate Counsel will collaborate with the business to minimize and mitigate legal risk and work across the back-office departments.Key DutiesDraft, review, and negotiate a variety of outbound and inbound licensing agreements, including software, data, and intellectual property licenses as well as a full range of technology agreements, including SaaS agreements, software licensing, API terms, data licensing arrangements, and data processing agreements (DPAs).Review, draft, and negotiate a large variety of contracts including without limitation customer agreements, vendor and supplier contracts, partnership agreements, and confidentiality agreements.Draft and negotiate business associate agreements (BAAs) and counsel internal stakeholders on the handling of protected health information (PHI)Advise product and engineering teams on licensing structures, usage rights, and risk allocation as new products and integrations come to marketAdvise on healthcare contracts and regulatory requirements applicable to pharmacy technology, including HIPAA complianceSupport the company's broader compliance posture as it relates to pharmacy, health data, and technology regulationStay up to date on legal and regulatory issues and best practicesPerforms other duties as assigned by General Counsel or managementEducation/TrainingJuris Doctorate degree from an accredited law school and active member of good standing in one or more jurisdiction within the in the United StatesAt least 3-5 years professional experience in a law firm and/or inhouse counsel position.Required Work Experience/SkillsExperience reviewing and negotiating software license and technology agreementsExpert knowledge of commercial transactions and contract review and negotiationAbility to balance between legal risks and the business needs and provide pragmatic solutions to the businessAbility to work cross functionally with all business units to provide clear, actionable legal guidanceExperience using artificial intelligence to perform legal work or willingness to learn quicklyContribute to team initiatives, process improvements, and the ongoing development of RedSail's legal functionExcellent verbal and written communication skillsAttention to detail and ability to exercise independent legal judgmentAbility to manage multiple matters at oncePreferred Work Experience/Skills1-3 year working in an inhouse legal environmentUnderstanding of labor and employment lawPrior commercial litigation experience preferredDiscretionary JudgmentStrong business judgment: ability to balance legal risk with commercial objectives and gives practical, decision-ready advice.Ability to work independently: owns matters end to end, manages competing priorities, and knows when to escalateStrong communication skills: explains complex legal concepts clearly to non-legal stakeholders and builds trust across teamsCollaborative and adaptable: ability to support a high volume growth environment and works effectively across functionsUses good judgement and possesses ethical work valuesPhysical Demands, Working Conditions, and General Employment GuidelinesModerate or high levels of stress may be experienced in the performance of the jobPosition is performed in a general office environment, home office, or approved remote workspace where physical work includes, but is limited to, sitting, standing, reaching, kneeling, bending, and lifting to 25 lbs.EquipmentDaily use of the Microsoft Teams (phone), computer, printer, and other routine office equipmentMust have internet access,Safety to Self and OthersLittle responsibility for safety of others. This position is also eligible for an annual target bonus of 4%.
