Key Responsibilities:
- Oversee ongoing governance and administration for a diverse portfolio of domestic and international business entities, including LLCs, partnerships, corporations, trusts, foundations, and related structures.
- Prepare and coordinate entity formations, registrations, amendments, annual reports, renewals, dissolutions, and other required filings across multiple jurisdictions.
- Draft and organize corporate governance materials such as written consents, resolutions, meeting minutes, agendas, and organizational documents.
- Maintain accurate corporate records, ownership information, organizational charts, capitalization details, and entity management databases.
- Track filing deadlines, licenses, registrations, renewals, and other corporate compliance requirements.
- Coordinate KYC, AML, beneficial ownership, and due diligence requests involving banks, auditors, regulators, and third-party providers.
- Assist with compliance initiatives, regulatory reviews, internal audits, policies, procedures, and risk-management activities.
- Maintain legal records and department resources through SharePoint, document management systems, governance platforms, and other legal technology.
- Create and improve department procedures, templates, trackers, workflows, and documentation standards.
- Coordinate electronic execution of legal documents and maintain organized repositories of completed agreements.
- Support contract administration, including confidentiality agreements, vendor agreements, engagement letters, and other business documents.
- Assist with trademark administration, including renewals, filings, deadlines, docketing, and coordination with outside counsel.
- Support insurance administration, including certificates of insurance, renewals, coverage tracking, claims-related documentation, and broker communication.
- Assist with banking documentation, account maintenance, authorized signatory changes, and related institutional requirements.
- Support due diligence associated with investments, financing activities, audits, transactions, and banking relationships.
- Partner with Legal, Finance, Tax, Compliance, Operations, and other internal teams on projects and ongoing initiatives.
- Communicate with outside counsel, financial institutions, auditors, insurance brokers, regulators, and other external partners.
- Identify opportunities to streamline legal operations through technology, automation, AI-enabled tools, and improved workflows.
- 5-7+ years of corporate paralegal, corporate governance, entity management, or comparable legal operations experience.
- Strong corporate background required; candidates with primarily litigation-focused experience will not be the best match for this position.
- Experience within financial services, banking, investment management, private equity, venture capital, a family office, corporate legal department, trust organization, or law firm is strongly preferred.
- Bachelor's degree and/or Paralegal Certificate preferred.
- Hands-on experience managing multiple legal entities and complex organizational structures.
- Knowledge of corporate governance documentation, entity filings, regulatory requirements, and corporate recordkeeping.
- Familiarity with KYC, AML, beneficial ownership reporting, due diligence, and financial institution compliance processes.
- Experience coordinating with outside counsel, banks, auditors, regulators, insurance providers, and other external partners.
- Strong technology skills, including Microsoft 365, SharePoint, Teams, Outlook, document management systems, and electronic signature platforms.
- Excellent attention to detail with the ability to manage numerous deadlines and competing priorities.
- Strong written and verbal communication skills.
- Ability to work independently while partnering effectively with attorneys, compliance professionals, executives, and business stakeholders.
- High level of professionalism and discretion when handling confidential or sensitive information.
- The ideal candidate will be tech-savvy and interested in improving legal processes through automation, workflow tools, and AI.
- Experience developing procedures, documenting processes, and creating more efficient legal operations workflows is highly valued.
- Hybrid flexibility after the initial three-month onsite training period.
