About the Role:

A well-established business law firm is seeking an Associate to Mid-Level Corporate/Transactional Attorney with approximately 2 6 years of corporate and transactional experience to join its growing team. This is an excellent opportunity for an attorney looking to gain meaningful client exposure, manage sophisticated matters, and continue developing their corporate and transactional practice in a collaborative environment.

The successful candidate will work on a broad range of corporate and commercial matters while collaborating closely with experienced attorneys, clients, and support professionals. Commercial real estate experience is helpful but not required.

The firm offers sophisticated legal work within a collegial, team-oriented environment without the bureaucracy and layers often associated with larger firms. Attorneys are encouraged to take ownership of matters, develop client relationships, and contribute to the continued growth of the practice.

Key Responsibilities:

• Handle a broad range of corporate and transactional matters from initial research and drafting through negotiation and closing.
• Research, draft, review, negotiate, and advise clients on complex contracts and commercial matters.
• Assist with mergers and acquisitions, corporate structuring, shareholder agreements, partnership agreements, joint ventures, and ESOP matters.
• Draft and review employment agreements, compliance documents, trademarks, intellectual property, data, privacy, and other commercial agreements.
• Provide practical legal advice and develop solutions to clients' business and legal needs.
• Interpret and explain complex legal issues in a clear and practical manner.
• Manage assigned matters and maintain strong communication with clients throughout the engagement.
• Take increasing responsibility for client relationships and matter management.
• Conduct legal research and prepare legal memoranda, agreements, presentations, and other legal materials.
• Collaborate with partners, associates, paralegals, and other professionals to deliver high-quality legal services.
• Delegate appropriate tasks to paralegals and support staff while maintaining responsibility for work product.
• Assist with business development by strengthening existing client relationships and participating in networking and industry events.
• Represent the firm at professional and community events as appropriate.
• Assist partners with research and preparation of manuscripts, presentations, and other professional materials.
• Perform other legal duties, special projects, and responsibilities as assigned by the managing partners.

Required Qualifications:

• J.D. from an ABA-accredited law school.
• Bachelor's degree.
• Approximately 2 6 years of corporate and transactional legal experience.
• Active admission to the North Carolina Bar or the ability and willingness to become admitted promptly.
• Strong academic credentials.
• Experience handling corporate and commercial transactions.
• Excellent legal research, writing, and verbal communication skills.
• Strong analytical and problem-solving abilities.
• Ability to work independently and exercise sound professional judgment.
• Excellent organizational skills with the ability to prioritize and manage multiple matters effectively.
• Strong attention to detail and commitment to producing high-quality legal work.
• Ability to communicate complex legal concepts clearly to clients.
• Collaborative and team-oriented approach.
• Commercial real estate experience is a plus but not required.
• Big law or large-firm experience is a plus.
