Associate General Counsel-Derivatives/ Hedge Funds (New York)

Our client, a leading leading investment firm headquartered in the NY metro area, is seeking an experienced attorney who will serve as the lead legal advisor supporting the firm's global trading, treasury, financing, and capital markets activities. This role will provide strategic legal and regulatory advice on sophisticated trading transactions, negotiate complex financial market documentation, partner closely with investment professionals and business leaders on new business initiatives, and help shape legal strategy across the firm's global trading platform.

Responsibilities for this role include the following:

• Serve as the primary legal advisor for the firm's trading, treasury, financing, and capital markets activities.
• Draft, review, and negotiate complex trading documentation, including ISDA Master Agreements, Credit Support Annexes (including regulatory VM and IM CSAs), futures account agreements, give-up agreements, clearing agreements, repurchase agreements, securities lending agreements, and related trading documentation.
• Provide legal and transactional advice regarding equities, equity finance, futures, OTC derivatives, securities financing transactions, and other transactions involving equities and equity indices.
• Advise trading, treasury, operations, and other business partners on issues arising from trading documentation, prime brokerage arrangements, financing transactions, and other complex transaction structures.
• Partner closely with investment, treasury, risk, tax, operations, finance, and technology teams.

Applicants must have the following requirements in order to be considered:

• Fifteen to twenty years of legal experience, including significant experience at a leading law firm and/or in-house with a financial institution, investment manager, hedge fund, broker-dealer, or similar organization.
• Deep experience advising on equities trading, equity derivatives, securities financing transactions, prime brokerage arrangements, futures, and related regulatory matters.
• Strong knowledge of ISDA documentation, including Master Agreements, Credit Support Annexes, and Equity Definitions.
• Experience negotiating and advising on prime brokerage, securities lending, repurchase transactions, futures, and cleared OTC derivatives.
• Strong understanding of applicable U.S. securities laws and regulations, including the Securities Act, Exchange Act, FINRA, CFTC, SEC, broker-dealer regulations, margin requirements, and Dodd-Frank Title VII.
