Direct Counsel is partnering with an AmLaw 10 law firm to identify a talented Capital Markets Associate (2–4 years of experience) to join its Capital Markets practice in Chicago .

This is an excellent opportunity for an attorney seeking to work on sophisticated securities offerings and capital markets transactions within a premier transactional platform. The team represents issuers, private equity sponsors, and investment banks/underwriters in a broad range of securities offerings across multiple industries.

Key Responsibilities

• Advise clients on capital markets and securities transactions

• Assist with public and private securities offerings , including equity and debt offerings

• Represent issuers, private equity sponsors, and underwriters in capital markets transactions

• Draft and review offering documents, registration statements, and transaction agreements

• Support SEC compliance and disclosure obligations

• Collaborate with deal teams on complex transactional matters

Qualifications

• 2–4 years of capital markets or securities transactional experience at a leading national or international law firm

• Experience working on equity and/or debt securities offerings

• Strong familiarity with securities laws, disclosure requirements, and capital markets transactions

• Excellent analytical, drafting, and communication skills

• Outstanding academic credentials

• Ability to work effectively in a fast-paced transactional environment

• Admission to the Illinois Bar or eligibility to obtain admission

Compensation

The anticipated salary range is $235,000 – $310,000 , depending on experience, qualifications, and internal compensation structures. The firm also offers a robust benefits package for attorneys and employees.
