Associate General Counsel

Associate General Counsel Location : Rosemont, Illinois (hybrid schedule with minimum of three (3) days per week in the office - Monday, Wednesday and Thursday) Reports to : Chief Legal Officer/General Counsel Company Capstone Development Services Company, LLC (Capstone), a fast-growing, private equity‑owned company focused on the development and commercialization of complex generic pharmaceuticals and medical devices. Summary Key member of the legal leadership team responsible for supporting the legal affairs of Capstone and its portfolio companies. This role will partner closely with executive leadership, compliance, regulatory, quality, and commercial teams to provide strategic legal guidance across highly regulated operations. Overview of Responsibilities Serve as a trusted advisor to the Chief Legal Officer and executive leadership on legal, regulatory, and business matters. Oversee legal support for multiple portfolio entities, ensuring consistency and scalability of legal processes. Provide advice on corporate legal matters, including governance, structure, and strategic initiatives. Draft, review, and negotiate a wide range of commercial documents and complex transactions (e.g., service agreements, supply agreements, license agreements, commercialization agreements, asset purchase agreements). Assist in developing and implementing internal policies and procedures, ensuring they are in compliance and updated, as needed. Identify and advise on legal risks while devising acceptable options and methods to accomplish business objectives. Provide legal and due diligence support for acquisitions, divestitures, and other corporate transactions. Collaborate with internal stakeholders (finance, HR, operations, procurement, business development) on business and legal matters. Provide training to business teams on legal and compliance matters. Qualifications Education & Licensing Juris Doctorate from an ABA accredited law school Admitted in good standing to the Bar of at least one state and eligible for admission to the Illinois bar as an in‑house counsel Experience & Requirements 15+ years of relevant general corporate and transactional legal experience Prior in‑house experience strongly preferred Experience in a high‑growth environment is highly desirable Strong corporate background with experience in actively drafting and negotiating complex transactions (M&A, licensing, asset purchase, divestitures) Experience with biotechnology, pharmaceutical or other life sciences industries, including familiarity with pharmaceutical supply chain and contracting practices Highly collaborative team player with ability to effectively communicate legal issues to a diverse staff at all levels Ability to thrive in a fast‑paced and sophisticated environment, managing competing priorities Ability to work with business and legal contacts, both domestically and internationally Compensation Competitive base salary, annual incentive, health benefits, 401k plan #J-18808-Ljbffr
