Commercial Contracts Attorney, M&A Diligence

Apply commercial contracts and M&A diligence expertise to help develop advanced AI assisted legal tools. Your real world analysis and structured feedback will help improve how AI systems support transaction and deal professionals. Prior AI experience is not required.

• Review and analyze complex commercial agreements and realistic M&A diligence scenarios.
• Assess and annotate change of control, assignment, termination, exclusivity, MFN, indemnification, and renewal provisions.
• Distinguish material contractual risks from standard boilerplate and provide concise written rationale.
• Evaluate the severity of identified issues in the context of realistic M&A transactions.
• Deliver structured, high quality written feedback to improve AI systems used by transaction and deal professionals.
• Apply practical legal judgment to commercial lease agreements and other relevant contract types as needed.

• At least 5 years of experience drafting, negotiating, or conducting diligence review of commercial contracts in a law firm or in house setting.
• Extensive experience reviewing contracts in virtual data rooms during live M&A transactions, which is essential.
• Deep familiarity with deal risk provisions, including change of control, assignment, and termination mechanics.
• Experience conducting or managing diligence at a major law firm or in a managed review setting.
• Strong written and verbal communication skills, including the ability to explain complex legal risks clearly and precisely.
• JD and active bar membership, or an equivalent legal qualification in your jurisdiction.
• Experience with SaaS or technology commercial agreements and contract analytics tools is preferred but not required.

• Remote independent contractor engagement.

$90 to $100 per hour.
