Job Description Position: Investment Banking Associate (Biopharma & Med Tech) – Piper Sandler & Co., New York, NY. Responsibilities Collaborate with senior team members on sell‑side M&A and capital‑raising advisory projects within the biopharma and medical‑technology subsectors, supporting origination and execution of transactions. Develop comprehensive financial models and utilize valuation methodologies (DCF, LBO, SOTP, precedent transactions, comparable companies) to analyze investment opportunities and assess risks for healthcare companies. Conduct complex valuation analysis and prepare detailed reports on company prospects. Perform in‑depth industry and company‑specific research in global biopharma and medical‑technology sectors, including U.S. and European pharmaceutical markets, to provide insights on investment strategies and client recommendations. Prepare investment memorandums and engage with investors to support capital‑raising efforts, including investment‑committee materials, management presentations, and transaction documentation for healthcare mergers and acquisitions. Collaborate in executing M&A transaction processes: due diligence, documentation, and negotiation, drafting, reviewing, and negotiating engagement letters, confidentiality agreements, and purchase agreements. Interact directly with internal teams, clients, and external stakeholders in the biopharma subsector to understand needs, provide updates, and address inquiries throughout cross‑border transaction execution. Provide training to personnel on biopharma and medical‑technology financial models and deal frameworks. Expand the business franchise: develop new client relations and interact with institutional investors, offering up‑to‑date industry insights, regulatory developments, and market conditions. Evaluate clinical‑stage biopharmaceutical assets (pre‑clinical to Phase III) including mechanism of action, therapeutic modality, competitive landscape, and development risk to support strategic transaction recommendations. Travel up to 10% within the U.S. and/or internationally to meet clients and colleagues. Qualifications Bachelor’s degree (or foreign equivalent) in Pharmaceutical Sciences, Finance, Economics, or a closely related field. At least 2 years of experience in investment banking or a related field, with a minimum of 2 years in each of the following areas: Financial modeling & valuation for healthcare companies: DCF, LBO, sum‑of‑the‑parts, precedent transactions, comparable company analyses for M&A and capital‑market transactions. Support origination and execution of biopharma and medical‑technology transactions: buy‑side and sell‑side mandates, analysis of drug development pipelines and product portfolios for due diligence. Cross‑border M&A analysis: coordination of U.S. and European counterparties, consideration of jurisdiction‑specific regulatory, commercial, and market factors. Preparation of investment‑committee materials, management presentations, and transaction documentation for healthcare M&A. Global biopharma & medical‑technology sector experience: U.S. and European markets, advising corporate and financial‑sponsor clients on strategic acquisitions and divestitures. Drafting, reviewing, and negotiating engagement letters, confidentiality agreements, and purchase agreements related to investment banking transactions.
