Prepare, review, and manage transaction documents, including purchase agreements, stock and asset transfers, deeds, easements, assignments, bills of sale, closing statements, and related closing documents. Prepare and monitor closing checklists, contract deadlines, and transaction timelines; coordinate transaction closings, including signature collection, execution logistics, funding coordination, preparation of closing binders (electronic and/or paper), and post-closing administration. Review title commitments, surveys, title exception documents, and other due diligence materials; assist attorneys in identifying issues requiring further review. Prepare, review, and summarize operating agreements, partnership agreements, LLC agreements, corporate governance documents, and other organizational records. Prepare and file UCC financing statements, amendments, continuations, assignments, and termination statements. Conduct public records searches and filings with county, state, and Secretary of State offices. Draft closing instruction letters and coordinate transaction logistics with clients, title companies, lenders, surveyors, and opposing counsel. Independently manage multiple active transactions while maintaining accuracy, attention to detail, and adherence to deadlines. What You’ll Bring A minimum of 5+ years of experience handling real estate transactions and/or corporate law. 4 Year Degree in Legal Studies or 4 Year Bachelor’s Degree with a Paralegal Certificate or equivalent experience Knowledge of legal principles and practices at a level normally acquired through formal paralegal training Ability to organize and prioritize numerous tasks and complete them under time constraints Ability to proofread material for contextual, grammatical, typographic, or spelling errors Ability to work in our Clayton office at least 3-4 days a week, noting that we embrace flexibility, but presence is important Ability and desire to learn.
