Executive Compensation Associate

Job Description Summary Fenwick is a leading technology and life science law firm with a cutting edge, internationally recognized, dynamic corporate practice with offices in Northern California, New York, Santa Monica, Seattle, and Washington D.C. Our Executive Compensation Group advises top technology and Fortune 500 companies on complex compensation issues and has a robust role in supporting our M&A practice. In particular, the ECG team has worked on transformational transactions for many tech and life sciences companies, with novel, complex, and cutting‑edge issues relevant to compensation law. Our ECG team was also recently ranked nationally by Chambers USA. Job Description We are seeking an Executive Compensation Associate to join our Silicon Valley, New York, San Francisco, Santa Monica, or Boston office. Responsibilities: Work on eclectic executive compensation matters, including mergers and acquisitions, public company offerings and reporting obligations, and general advising and counseling. Assist with issues related to Sections 409A, 280G, 83, and 421‑424 of the U.S. tax code and securities laws governing employee incentives. Collaborate with internal and external clients to structure and implement compensation plans. Provide legal analysis and advice on complex compensation transactions. Qualifications: Four (4) to six (6) years of experience in executive compensation matters. Strong background in U.S. tax and securities law relating to employee incentives. Superior academic credentials and excellent oral, written, and interpersonal skills. Admission in jurisdiction of application is required. Benefits and Compensation Details At Fenwick, we provide a comprehensive benefit program to eligible employees, including Healthcare, Life Insurance, Health Savings Accounts, Flexible Spending Accounts, and Wellbeing plans. Temporary employees are generally not entitled to these benefits. The anticipated salary range for this position is $310,000 - $390,000. The actual base salary may vary based on qualifications, experience, education, credentials, and location. A discretionary bonus for eligible employees may be available based on performance.
