Commercial Legal Lead

Position Overview Mantel is developing the first molten‑salt‑based carbon capture technology engineered to operate at the high temperatures inside boilers, kilns, and furnaces. The Senior Commercial Counsel will own contracts end‑to‑end and sit at the commercial strategy table. What You’ll Do Contract Ownership – draft, negotiate, and close MSAs, NDAs, engineering service agreements, term sheets, licensing agreements, offtake agreements, strategic supply agreements, strategic partnership agreements, and project‑level commercial contracts. Take and defend clear positions on representations and warranties, indemnification, liability caps, IP ownership & governance, and dispute resolution. Develop and maintain standard‑form agreements and negotiation playbooks to keep the contracting process efficient and consistent. Maintain a clean contracts repository and ensure obligations, rights, and key dates are tracked and enforced. Manage external counsel relationships for specialized expertise, keeping scope and cost tight. Commercial Strategy & Deal Structuring – contribute to strategy, risk allocation, and commercial logic behind deals. Help build scalable commercial structures as the company moves from demonstration to full deployment. Support due diligence for partnerships, project financing, and government grants. Serve as a trusted, accessible internal legal resource across the organization. Work closely with commercial, engineering, and finance teams. Draft and negotiate term sheets that set the commercial and legal foundation. Own Mantel’s licensing strategy from a contracts perspective, understanding IP rights, exclusivity, grant‑back, and royalty structures. Identify and push back on terms that create undue legal risk or limit flexibility. Who You Are 5+ years of transactional legal experience in private practice or in‑house at a technology, energy, or industrial company. Startup or early‑stage experience is a strong asset. Law degree required. Proven negotiation of real commercial contracts, able to take a position, defend it, and close. Solution oriented and gives practical advice that moves deals forward. Curious about carbon capture, industrial decarbonization, and Mantel’s commercial landscape. Comfortable acting as Mantel’s primary legal voice on commercial matters in a growing legal function.
